Organisation and ConstitutionHow are we organised?CED is managed by a Board of Directors. The Directors are also Trustees of the Charity. CED does not own or rent a building; Directors work from their own homes, communicating primarily by e-mail. We therefore have no full-time paid staff in the UK or a ‘Head Office’ as such. All administrative work is undertaken by the Directors or the part-time home-based Secretary. The Directors do all their work at no fee but staff employed to work overseas for any length of time receive appropriate remuneration. Publicity and accounting costs are kept as low as possible. The priority for the use of CED’s own funds is to give advice, keep our members informed and, above all, to finance projects through the early stages. This is when planning and design work are needed to formulate definitive proposals to present to potential funding agencies. The present Directors are:
Project Directors, who are normally members of the Board, are appointed to run individual projects. Defined powers are delegated to Project Directors with the requirement to keep the Board informed and/or seek approval to proceed at key stages. Our ConstitutionCED is a UK Company (No. 198053) which is Limited by Guarantee, so does not have any shareholders or share capital. CED is also a Registered UK Charity (No. 293734). We are therefore constituted as an autonomous, non-profit-making organisation operating in accordance with the laws of the United Kingdom. Our Registered Office is that of our accountants, Sheen Stickland, at 7 East Pallant, Chichester, West Sussex PO19 1TR. CED is a member of British Overseas NGOs for Development (BOND); a network of more than 260 UK based voluntary organisations working in international development and development education. |
